Introduction

These Terms and Conditions ("Terms") are a binding legal agreement between you and Boxmate that govern the right to use the website, applications, services, marketplace, and other offerings from Boxmate ("Services").

When used in these Terms, "Boxmate," "we," "us," or "our" refers to Boxmate LLC, a Wisconsin limited liability company. You may be referred to in these Terms as a "User" if utilizing our Services, as a "host" if offering storage space through our Services, or as a "renter" if renting storage space through our Services.

BY ACCESSING OR USING OUR WEBSITE, APP, OR SERVICES IN ANY MANNER, INCLUDING BUT NOT LIMITED TO VISITING OR BROWSING OUR SITE OR APP, OR CONTRIBUTING CONTENT OR OTHER MATERIALS TO OUR SITE OR APP, OR DOWNLOADING CONTENT OR OTHER MATERIALS FROM OUR SITE OR APP, YOU AGREE TO BE BOUND BY THESE TERMS WHETHER OR NOT YOU HAVE REGISTERED AN ACCOUNT WITH OUR SITE, APP, OR SERVICES.

PLEASE READ THESE TERMS CAREFULLY. By using Boxmate's Services or making any payment, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. You must explicitly accept these Terms (e.g. by clicking "I Agree") before making a payment or booking storage as a renter, or listing a storage space as a host. If you do not agree, you may not use Boxmate's marketplace or Services.

1. Definitions

The following terms have the meanings set forth below when used in these Terms and Conditions:

" Account" refers to the Boxmate account created when a person completes the account registration process.

"App" refers to the Boxmate mobile application accessible on the App Store, Google Play, or other platforms.

"Booking" refers to a confirmed transaction between a host and a renter whereby the renter stores items in the host's storage space.

"Box" refers to a sealed container not exceeding 4.5 cubic feet in volume used to store items through the Boxmate platform.

"Content" refers to all text, graphics, images, software, audio, video, information, or other materials posted or transmitted through the Services.

"Default" refers to a breach of these Terms or failure to perform obligations under these Terms.

"Host" refers to a person who lists and provides storage space through Boxmate's Services.

"Listing" refers to a host's advertisement of their storage space on the Boxmate platform.

"Member" refers to any person who has registered an Account with Boxmate, including hosts and renters.

"Renter" refers to a person who books storage space through Boxmate's Services to store their items.

"Services" refers to any services offered by Boxmate, including the website, mobile applications, marketplace platform, customer support, and related offerings.

"Site" refers to the Boxmate website accessible at boxmate.store or any successor URL.

"Space Fees" refers to the amounts due and payable by a renter for storage services.

"Storage Space" refers to the area of a host's property where the host will keep the renter's stored items.

"Stored Items" refers to the property or goods of the renter that are stored in a host's storage space.

"Total Fees" refers to the Space Fees (amounts due for storage services), Service Fees (Boxmate's 30% marketplace fee), Processing Fees (third-party payment processing charges from Stripe), and applicable taxes collectively.

2. Boxmate's Role as a Marketplace

Boxmate is a Connecting Platform: Boxmate LLC ("Boxmate") operates a marketplace platform that connects renters in need of summer storage or other short-term storage ("renters") with homeowners or tenants offering storage space ("hosts"). Boxmate also provides optional pickup and delivery services for certain service plans. Boxmate is not the owner or operator of any storage space, nor a warehouse, mover, real estate broker, or insurer. Boxmate's function is limited to facilitating listings, communication, scheduling, payments, and optional logistics services between renters and hosts.

Platform Features: Boxmate provides a chat feature that enables direct communication between hosts and renters. Boxmate schedules the storage start and end dates as part of the booking process. However, the actual coordination of drop-off, pickup, access arrangements, and other logistics is the sole responsibility of the host and renter. Boxmate does not supervise or participate in the physical exchange of items or access to storage spaces.

No Agency or Partnership: Except for collecting payments on behalf of hosts and providing optional delivery services for Gold plan customers, Boxmate is not an agent or partner of either renters or hosts. Any storage rental agreement is solely between the renter and the host. Boxmate is not a party to that storage contract and does not supervise or control the storage arrangements. Users agree that Boxmate shall not be involved in or liable for any disputes between hosts and renters, except as expressly provided herein.

Independent Parties: Hosts and renters transact with each other as independent parties. Using Boxmate's platform does not create any employment, partnership, or joint venture relationship with Boxmate. Boxmate has no control over, and disclaims liability for, the actions of any host or renter using the platform.

Host Acceptance of Renters: Hosts may, at their sole discretion, accept or reject renter requests for storage. Hosts may also enable an auto-accept feature to automatically accept incoming renter requests. Once a host accepts a renter (whether manually or via auto accept), the host is bound by the terms of the storage arrangement.

Personal Use Only: The Services are intended for personal, non-commercial use only. You are prohibited from accessing or using our Site, App, or Services on behalf of a business or entity. Our Services are intended solely for persons who are at least 18 years old. By using our Services, you confirm that you are at least 18 years old.

3. Eligibility and Account Registration

Account Registration: In order to book storage as a renter or list storage space as a host, you must register an Account and become a Member. You may only have one (1) Boxmate Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security: You are responsible for safeguarding your password. You agree not to disclose your password to any third party. Only you may use your Account, and you may not transfer your Account to anyone else. You agree to take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions. You will immediately notify Boxmate of any unauthorized use of your Account.

Background Checks: Boxmate reserves the right, at its sole discretion, to conduct background checks, criminal history checks, credit history checks, or identity verification on any Member. You hereby expressly agree to Boxmate's use of third-party services to perform such checks. Boxmate reserves the right to deny any host or renter service based on the results of such checks. You hereby release Boxmate from any and all liability resulting from Boxmate's failure to perform or verify Member information, or from Boxmate's actions upon receiving such information.

Account Termination and Suspension: Boxmate reserves the right to suspend or terminate your Account and your access to our Site, App, and Services without cause or notice in our sole discretion. Some reasons for termination include, but are not limited to: creating more than one Account; providing inaccurate information during registration; account dormancy; violation of these Terms; or to protect the safety or property of other Members, Boxmate, or third parties.

Change of Information: Once a Booking is created, you agree to immediately provide written notice to Boxmate and the other party (host or renter) of any changes in your email address, mailing address, phone number, or other contact information.

4. Prohibited Actions

You agree not to use the Services in any manner that:

  • • Violates any applicable federal, state, local, or international law or regulation.
  • • Involves sending, receiving, uploading, or using any material that does not comply with these Terms or Boxmate's community guidelines.
  • • Involves transmitting any advertising or promotional material without Boxmate's prior written consent, including any "junk mail," "chain letter," "spam," or similar solicitation.
  • • Involves impersonating or attempting to impersonate Boxmate, a Boxmate employee, another user, or any other person or entity.
  • • Restricts or inhibits anyone's use or enjoyment of our Site, App, or Services, or may harm Boxmate or its users.
  • • Uses our Services in any manner that could disable, overburden, damage, or impair our Site, App, or Services or interfere with any other party's use of our Services.
  • • Uses any robot, spider, scraper, or other automatic device, process, or means to access our Services for any purpose, including monitoring or copying any material on our Services.
  • • Uses any manual process to monitor or copy any material on our Services or for any other unauthorized purpose.
  • • Introduces any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • • Attempts to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Services, the servers on which our Site and App are stored, or any server, computer, or database connected to our Services.
  • • Attacks our Services via a denial-of-service attack or a distributed denial-of-service attack.
  • • Otherwise attempts to interfere with the proper working of our Site, App, or Services.

Boxmate reserves the right to terminate or suspend your Account upon suspicion that you engage in any of the above prohibited actions.

5. Nondiscrimination Policy

Boxmate is committed to building an inclusive community. Hosts and renters agree to treat all Members with respect and without discrimination.

Host Obligations: Hosts agree not to:

  • • Decline a renter based on race, color, ethnicity, national origin, religion, sexual orientation, gender identity, marital status, or disability.
  • • Impose any different terms or conditions based on race, color, ethnicity, national origin, religion, sexual orientation, gender identity, marital status, or disability.
  • • Post any listing or make any statement that discourages or indicates a preference for or against any renter on account of race, color, ethnicity, national origin, religion, sexual orientation, gender identity, marital status, or disability.
  • • Charge different fees for renters based on any protected characteristic.
  • • Refuse to communicate with renters through accessible means, including relay operators for people with hearing impairments or email for people with vision impairments using screen readers.
  • • Refuse to provide reasonable accommodations in how renters deliver or retrieve their stored items.

Hosts who demonstrate a pattern of rejecting renters from a protected class may be suspended from the platform. Boxmate reserves the right to remove any host from the platform who violates this Nondiscrimination Policy.

6. Service Plans and Pricing

Service Plans

Boxmate offers the following service plans for renters. All plans are priced per box and cover a storage period of up to four (4) months. The minimum storage period is one (1) month.

Self-Store Plans (Silver and Bronze):

Renters selecting the Silver or Bronze plans are responsible for transporting their boxes to and from the host's storage location. Boxmate does not provide pickup or delivery services for these plans. The host and renter are responsible for coordinating the drop-off and pickup of items using Boxmate's chat feature or other means of communication.

Gold Plan - Pickup and Delivery:

Renters selecting the Gold plan receive curbside pickup and delivery services provided by Boxmate or its service providers. Boxmate will schedule pickup of boxes from the renter's location at the start of the storage term and delivery back to the renter at the end of the storage term. The renter is responsible for coordinating with Boxmate regarding pickup and delivery times.

7. Box and Container Requirements

Box Size Limit:

All boxes stored through Boxmate must not exceed 4.5 cubic feet in volume. This applies to all service plans.

Sealed Containers Required:

All stored items must be placed in sealed containers (boxes, bins, etc.) for protection. Loose items or unsealed containers are not permitted.

Weight Limit for Gold Plan Delivery:

For renters selecting the Gold plan with pickup and delivery services, each box must not exceed 50 pounds (50 lbs) in weight. Boxes exceeding this weight limit may be refused for pickup or may incur additional fees. There is no weight limit for self-store plans (Silver and Bronze), though renters should ensure boxes are reasonably manageable.

Proper Packaging:

Renters are responsible for properly packaging their items to prevent damage during storage and transport. Boxmate and hosts are not responsible for damage caused by improper packaging.
